Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RunOps platform, including the web application at platform.runops.ai, the marketing site at runops.ai, and any related services we provide (collectively, the "Service"). By creating a RunOps account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

RunOps ("RunOps," "we," "us," or "our") provides an inventory intelligence platform for specialty retail businesses.

1. Eligibility and Accounts

To use RunOps, you must be at least 18 years old and capable of entering into a legally binding agreement. By using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at runops@hexify.ai if you suspect any unauthorized access to your account.

2. Description of Service

RunOps is a multi-tenant SaaS platform that provides inventory intelligence for specialty retail. Features include:

• Integration with point of sale (POS) systems to collect inventory data
• Inventory analytics, demand forecasting, and AI-generated recommendations
• Fill order generation grouped by brand and brand representative
• Optional automated email delivery of fill orders to brand representatives via your connected Google account
• Audit logging, reporting, and order tracking

We may add, modify, or remove features at any time. We will provide reasonable notice for material changes that affect your use of the Service.

3. Subscription, Fees, and Billing

Access to RunOps is provided under a paid subscription. Pricing, billing frequency, and the scope of included features are described in your order form or in the pricing details displayed during signup. You agree to pay all fees on time.

Unless otherwise stated in your order form, fees are non-refundable. We may change pricing for new subscription terms with at least 30 days' notice. If you do not agree to a price change, you may cancel before the change takes effect.

4. Your Responsibilities

You agree to:

• Provide accurate, current, and complete information when creating your account and configuring the Service
• Use the Service only for lawful business purposes
• Comply with all applicable laws, including data protection, privacy, and anti-spam laws (such as the CAN-SPAM Act in the United States)
• Maintain the security of any credentials, API tokens, or authentication tokens you provide to RunOps
• Notify us promptly of any security incident or unauthorized use
• Be responsible for the actions of all users you invite to your tenant

You agree NOT to:

• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorized access to any other tenant's data or to RunOps's infrastructure
• Use the Service to send unsolicited bulk email or otherwise violate anti-spam laws
• Use the Service to transmit malware, harmful code, or content that infringes the rights of others
• Resell, sublicense, or otherwise commercially exploit the Service without our written consent
• Use the Service in any manner that could damage, disable, overburden, or impair our systems

5. Brand Representative Communications

When you connect your Google account to RunOps and click "Send Orders," you are authorizing RunOps to send the email content you have approved through your Google account on your behalf. The emails are sent from your email address. You retain ownership of the email content and the resulting communications. RunOps acts solely as a technical intermediary that delivers the emails you have approved.

You agree that RunOps is not responsible for the response, accuracy, or fulfillment of any orders or communications between you and your brand representatives.

6. AI-Generated Recommendations

RunOps uses large language models and statistical analysis to generate inventory recommendations, demand forecasts, fill order suggestions, and other AI-generated content (collectively, "Recommendations"). Recommendations are provided as decision support, not as authoritative advice.

You acknowledge that:

• Recommendations may contain errors, omissions, or inaccuracies
• Recommendations are based on data available to the Service at the time of generation and may not reflect current conditions
• You are solely responsible for reviewing Recommendations before acting on them
• RunOps is not liable for business decisions you make based on Recommendations

7. Your Data

You retain all right, title, and interest in the data you provide to RunOps, including inventory data, business information, and any data collected from your connected POS systems ("Customer Data").

You grant RunOps a limited, non-exclusive license to access, store, process, and transmit Customer Data solely for the purpose of providing the Service to you. We will not use your Customer Data for any other purpose without your consent, except in aggregated and anonymized form for internal analytics and service improvement.

Our handling of personal information is described in our Privacy Policy.

8. Intellectual Property

RunOps and its licensors retain all right, title, and interest in the Service, including all software, designs, trademarks, logos, and documentation. Nothing in these Terms grants you any right or license to use any RunOps trademark, trade name, or logo without our prior written consent.

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

9. Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. RunOps treats all Customer Data as confidential and applies tenant isolation, encryption, and access controls as described in our Privacy Policy.

10. Service Availability

We strive to keep RunOps available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We are not liable for any downtime, data loss, or business impact resulting from Service unavailability except where required by applicable law.

You agree to indemnify, defend, and hold harmless RunOps and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• The content of any emails you send through the Service, including fill order communications to brand representatives

14. Termination

You may cancel your account at any time by contacting us at runops@hexify.ai or by using the account deletion option in the Service. We may suspend or terminate your access to the Service if you breach these Terms, fail to pay fees, or use the Service in a manner that exposes RunOps or other users to harm or legal risk.

Upon termination, your right to access the Service immediately ends. We will retain or delete your data in accordance with our Privacy Policy and applicable law. Sections that by their nature should survive termination (including sections 7, 8, 11, 12, 13, and 16) will survive.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of [STATE], without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in [COUNTY], [STATE], and you consent to the personal jurisdiction of those courts.

17. Miscellaneous

These Terms, together with the Privacy Policy and any order form or written agreement between you and RunOps, constitute the entire agreement between you and RunOps regarding the Service. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
